Uldaman to Change Name, Roll Back Shares, Raise Money

ULDAMAN ANNOUNCES NAME CHANGE, SHARE CONSOLIDATION, RESUMPTION OF TRADING, AND UPDATE ON QUALIFYING TRANSACTION
Uldaman Capital Corp. has changed its name from Uldaman Capital to Dawson Gold Corp. In connection with the name change, the company has also consolidated its share capital such that each two previously issued common shares has been consolidated into one new common share.
The shares of the company will resume trading on the TSX Venture Exchange under its new name on Aug. 10, 2010, under the trading symbol DYU.H.
Update on qualifying transaction
The company is proceeding with its previously announced qualifying transaction with 0851045 B.C. Ltd. A current summary of the transaction is provided in the company’s news release in Stockwatch dated July 6, 2010. As noted in the July 6 news release, 0851045 is presently conducting a private placement of up to 4,666,666 units at a price of 15 cents per unit for gross proceeds of up to $700,000, with use of proceeds being applied to finance the continuing exploration program on the Tad/Toro project.
Uldaman also announces that it has increased its maximum proposed private placement financing to $1.2-million. The terms of the private placement will be announced in a separate press release. The private placement will close concurrently with the closing of the qualifying transaction. The private placement by Uldaman and the qualifying transaction remain subject to the acceptance of the TSX Venture Exchange.
